This Schedule 14A relates to the proposed acquisition of Chinook Therapeutics, Inc., a Delaware corporation (the “Company”), by Novartis AG, a company organized under the laws of Switzerland (“Parent”), pursuant to the Agreement and Plan of Merger by and among the Company, Parent and Cherry Merger Sub Inc., a Delaware corporation and an indirect wholly owned subsidiary of Parent, dated June 11, 2023. On June 11, 2023, Eric Dobmeier, Chief Executive Officer of the Company, sent the below email to all employees of the Company:

Hi Chinookers,

A few minutes ago, we announced that Chinook has entered into an agreement to be acquired by Novartis AG for $40 per share in cash, plus up to $4 per share in cash through contingent value rights, for a total deal value of $3.5 billion. Please read our press release here [insert link] and the Novartis press release here [insert link].

I imagine this news comes as a surprise to many of you. As it sinks in and the details are explained, I hope you will feel proud that our commitment, expertise and considerable efforts have been recognized by one of the largest pharmaceutical companies in the world. Even more importantly, I truly believe this is great news for patients and for the programs we have built together at Chinook. Through this merger, Novartis can apply its substantial resources to pursue broader development efforts and commercialization of atrasentan, zigakibart (BION-1301) and our other programs, which will significantly expand the Novartis renal pipeline and complement its existing programs.

I’m sure you have many questions. We will do everything we can to provide information as it is known. I encourage you to attend the all-company meeting tomorrow morning at 9 am PT where we’ll provide more details on the acquisition and start to answer questions you may have about the path forward. This meeting is just the beginning, as there will be ongoing updates ahead of an expected final deal closing in the second half of 2023. Until that time, Chinook will continue to operate as a separate and independent company.

As I look back on the past 4 years, it’s amazing what an incredible company we’ve built together. When I joined Chinook in 2019, we were a 20-person company with a preclinical pipeline, a market cap of less than $40 million and big aspirations to change the way kidney disease is treated. I’m continually inspired by all of your talents and passion for our mission of developing therapies to preserve kidney function, and make dialysis and transplant unnecessary for people living with kidney disease.
